1. Agreement and eligibility
These Terms of Service (“Terms”) are an agreement between you and Evolom LLC, a Delaware limited liability company that operates MSPClients and has its registered address at 8 The Green, STE R, Dover, DE 19901, USA. By creating an account, purchasing a subscription, or using MSPClients, you agree to these Terms and our Privacy Policy.
You must be at least 18 years old and able to enter into a binding contract. MSPClients is intended for business use. If you use it for an organization, you confirm that you have authority to bind that organization, and “you” includes that organization.
2. What MSPClients provides
MSPClients is a signal-based lead finder for Managed Service Providers. It may help define an ideal customer profile, identify and rank business opportunities, explain signals, find professional contact details, and suggest sales approaches or draft outreach.
Signals, scores, contact details, interpretations, and suggested messages may be produced from public information, licensed data, automated systems, and artificial intelligence. They may be incomplete, outdated, or incorrect. You are responsible for reviewing information and deciding whether and how to use it.
We may improve, change, add, or remove features over time. We may offer beta or preview features that are less reliable and may change without notice.
3. Accounts and access
You must provide accurate information and keep it current. You are responsible for activity under your account, protecting login credentials, and ensuring that authorized users follow these Terms. Tell us promptly at hello@mspclients.com if you suspect unauthorized access.
You may not share access outside your organization, bypass account or usage limits, or use another person’s account without permission. We may set reasonable usage limits to protect service quality, data-provider terms, and system security.
4. Free trials, subscriptions, and billing
The website currently describes a 14-day free trial and a $99 monthly plan. The price, billing period, included usage, trial conversion, and any taxes shown at checkout are the terms that apply to your order.
If your checkout states that a trial converts automatically and you provide a payment method, your paid subscription begins when the trial ends unless you cancel first. Otherwise, trial access ends unless you choose a paid plan.
Paid subscriptions renew automatically for the same billing period until canceled. You authorize us and our payment processor, Stripe, to charge the payment method on file. You are responsible for applicable taxes, excluding taxes on our income.
You may cancel through the billing settings or by contacting us. Cancellation stops future renewals and normally takes effect at the end of the current paid period. Fees are non-refundable except where required by law or where we expressly agree otherwise. We may change prices for future billing periods with advance notice.
5. Acceptable use and outreach compliance
You may use MSPClients only for lawful business purposes. You may not:
- Use the service for unlawful, deceptive, discriminatory, abusive, or harassing activity.
- Send spam or communications that violate CAN-SPAM, the TCPA, GDPR, PECR, ePrivacy rules, or other marketing and communications laws that apply to you.
- Contact a person who has opted out, where the opt-out applies to your outreach.
- Use professional contact data for personal, consumer, employment, credit, housing, insurance, healthcare, or other high-risk eligibility decisions.
- Resell, republish, or create a competing database from MSPClients data.
- Scrape, probe, reverse engineer, disrupt, overload, or bypass the service or its security controls.
- Upload malware, infringe intellectual property or privacy rights, or access information without authorization.
- Misrepresent your identity, affiliation, offer, or the source of your information.
You are the sender of any outreach you conduct. You are responsible for determining your lawful basis, providing required notices, honoring opt-outs, maintaining suppression lists, and complying with the rules that apply to your location, channel, and recipients.
We may investigate suspected misuse and suspend or limit access where reasonably necessary to protect the service, third parties, or our providers.
6. Your data, service data, and intellectual property
Your content
You retain ownership of information and materials you submit to MSPClients. You give us a limited, worldwide right to host, process, copy, and display that content only as needed to operate, secure, support, and improve the service and meet legal obligations.
MSPClients materials
MSPClients, its software, interface, branding, scoring methods, documentation, and other service materials are owned by Evolom LLC or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the service during your subscription for your internal business purposes.
Business data and outputs
Business information may come from public or licensed sources and may be subject to third-party rights or restrictions. You may use results inside your organization for lawful prospecting, but you may not bulk resell or redistribute them. Suggested messages and other generated outputs must be reviewed before use. Similar outputs may be produced for different users.
Feedback
If you provide product feedback, you allow us to use it without restriction or compensation, provided we do not publicly identify you without permission.
7. Third-party services
MSPClients may connect with or rely on third-party services, including authentication providers, Stripe, Cal.com, hosting providers, email services, analytics services, and data providers. Their services are governed by their own terms and policies. We are not responsible for third-party services, their availability, or changes they make.
8. Suspension and termination
You may stop using MSPClients at any time. We may suspend or terminate access if you materially breach these Terms, create security or legal risk, fail to pay, exceed permitted use, or if a provider prevents us from continuing a necessary part of the service.
Where practical, we will give notice and a chance to resolve the issue. We may act immediately when needed to prevent harm or comply with law. After termination, your right to use the service ends. Provisions that should reasonably survive will remain in effect, including payment obligations, ownership, disclaimers, liability limits, indemnity, and dispute terms.
9. Disclaimers
To the fullest extent permitted by law, MSPClients and all related data, content, outputs, documentation, and support are provided “as is,” “as available,” and with all faults. Evolom LLC disclaims every express, implied, statutory, and other warranty, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and any warranty arising from course of dealing or usage of trade.
We do not warrant that MSPClients will be uninterrupted, error-free, secure, timely, complete, accurate, or compatible with your systems; that defects or inaccurate data will be corrected; or that any signal, score, contact, recommendation, message, response, meeting, or commercial result will meet your expectations.
You assume all risk arising from your use of the service. You are solely responsible for independently checking information, protecting your systems and account, and making your own sales, outreach, legal, compliance, and business decisions. Nothing in MSPClients is legal, compliance, financial, or other professional advice.
10. Limitation of liability
To the fullest extent permitted by law, Evolom LLC and its members, managers, officers, employees, contractors, affiliates, licensors, vendors, and service providers (together, the “covered parties”) will not be liable for any indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages, or for any loss of profits, revenue, savings, data, goodwill, reputation, customers, business opportunities, expected benefits, or business interruption. These exclusions apply even if a covered party was advised that a loss was possible and regardless of the legal theory asserted.
Without limiting the paragraph above, no covered party will be liable for your reliance on signals, scores, contact details, recommendations, or generated content; any outreach, offer, or other communication you send; inaccurate, incomplete, delayed, or unavailable third-party data; the conduct of prospects or other third parties; unauthorized account access; loss or corruption of data; service downtime; or the cost of substitute services.
Except for liability that cannot lawfully be excluded or limited, the combined, aggregate, and cumulative liability of all covered parties for all claims arising out of or relating to MSPClients or these Terms will not exceed the lesser of (a) US$50 and (b) the fees actually paid by you and attributable to the one-month period immediately before the first event giving rise to liability. If you paid no fees, the maximum liability is zero to the fullest extent permitted by law. This is one total cap for all claims and events, not a cap per claim, user, or incident.
The disclaimers, exclusions, and limits in these Terms apply even if a limited remedy fails of its essential purpose. They are an essential basis of the agreement and allocation of risk between you and Evolom LLC. Your sole and exclusive remedy for dissatisfaction with MSPClients is to stop using the service and cancel your subscription.
Nothing in these Terms excludes or limits liability that applicable law does not permit the parties to exclude or limit. In that case, liability is limited to the minimum amount required by law.
11. Indemnity
You will defend, indemnify, and hold harmless the covered parties from all third-party claims, investigations, demands, proceedings, damages, judgments, settlements, penalties, losses, liabilities, costs, and reasonable legal fees arising from or relating to your use of MSPClients, your content, your products or services, your outreach or other communications, your use of professional contact data, your failure to honor an opt-out, your violation of law or these Terms, or your infringement of another person’s rights.
We may assume control of the defense at your expense, and you will reasonably cooperate. You may not settle a covered claim in a way that admits fault by, imposes obligations on, or fails to fully release a covered party without our prior written consent. This section does not require indemnification to the extent a final court judgment determines that the claim was directly caused by Evolom LLC’s willful misconduct.
12. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Delaware, and each party consents to their jurisdiction and venue.
Before filing a claim, you must email hello@mspclients.com with a detailed description of the issue and requested resolution and allow 30 days for an informal resolution. To the fullest extent permitted by law, each party waives trial by jury, and every claim must be brought only in that party’s individual capacity, not as a plaintiff or class member in any class, collective, consolidated, representative, or private-attorney-general proceeding.
To the fullest extent permitted by law, any claim arising from or relating to MSPClients or these Terms must be filed within one year after the claim first arose. A claim filed later is permanently barred.
13. General terms
These Terms and the Privacy Policy are the entire agreement about MSPClients unless a separate written agreement signed by Evolom LLC says otherwise. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain effective. A delay in enforcing a right is not a waiver. Except for each covered party’s right to enforce the protections expressly granted to it, there are no third-party beneficiaries.
You may not assign these Terms without our written consent. We may assign them as part of a merger, reorganization, financing, asset sale, or transfer of the service. We are not liable for delay or failure caused by events beyond our reasonable control.
Evolom LLC’s members, managers, officers, employees, and contractors are not parties to these Terms in their individual capacities and have no personal liability under them. Evolom LLC may seek injunctive or equitable relief to protect its service, security, confidential information, or intellectual property.
We may update these Terms. We will post the updated version and revise the effective date. If a change is material, we will provide additional notice where required. Continued use after the new Terms take effect means you accept them.
