1. Agreement and business use
MSPClients is a product of Evolom LLC, a limited liability company registered in Delaware. Its registered address is 8 The Green, STE R, Dover, DE 19901, USA. These Terms of Service (“Terms”) form a contract between Evolom LLC and the person or organization using MSPClients.
By claiming or creating an account, starting a trial, purchasing a subscription, or using the service, you accept these Terms and our Privacy Policy. MSPClients is only for business use. You must be at least 18 and authorized to bind the organization you represent. It is not offered for personal, household, or consumer use.
2. What MSPClients provides
MSPClients helps Managed Service Providers define an ideal customer profile and territory, discover companies, prioritize opportunities, review dated business signals and sources, find professional contacts, receive email alerts, and generate suggested sales plays and outreach drafts.
Qualification and scores may consider signal strength, fit, recency, timing, service fit, and contact availability. Results are created using public information, licensed data, enrichment providers, automated searches, inferences, and artificial intelligence.
Signals, dates, sources, interpretations, company details, contact details, scores, recommendations, and drafts can be incomplete, duplicated, delayed, outdated, or wrong. Sources may change or disappear. You must independently verify all important information and review every message before using it.
We may change, limit, suspend, or discontinue any feature, data source, integration, usage allowance, or part of the service. Beta, preview, sample, and trial features may be changed or removed without notice and may be less reliable.
3. Accounts, pre-created workspaces, and administrative access
You must provide accurate information, keep it current, protect your login methods, and remain responsible for all activity under your account and all users you authorize. Notify hello@mspclients.com promptly if you suspect unauthorized access.
We may create an unclaimed workspace and sample opportunities using a professional email address, company website, and public business information. This lets an invited business preview the service. An unclaimed workspace alone does not create a paid subscription or bind its intended recipient to these Terms. However, if you later register for, claim, access, or use that workspace, it becomes your account and you are fully bound by these Terms in the same way as any other user, whether or not the workspace or its sample data existed before you registered. We may reconcile the existing workspace and sample data with your account.
Authorized MSPClients administrators may access or temporarily view your account as you would see it when reasonably needed for onboarding, support, troubleshooting, security, fraud prevention, compliance, or service operation. Administrative access does not require us to know your password and may be logged. You authorize this limited access by using the service.
You may not share access outside your organization, impersonate another person, bypass limits or security controls, or access another account without authorization. We may apply usage limits and verify compliance with these Terms and our providers’ restrictions.
4. Trials, subscriptions, and billing
The price, billing period, included usage, trial terms, renewal terms, and taxes shown at checkout control your order. Stripe processes payments. If checkout says a trial converts automatically, your paid subscription begins when the trial ends unless you cancel first.
Subscriptions renew automatically until canceled. You authorize recurring charges to your payment method. You are responsible for applicable taxes other than taxes on our income. Failed or overdue payments may lead to restricted or suspended access.
You may cancel through billing settings or by contacting us. Cancellation normally takes effect at the end of the current paid period. Except where law requires otherwise or we expressly agree in writing, fees are non-refundable, unused time or usage has no cash value, and there are no credits for partial periods. We may change future prices or plan limits with notice before the change applies to your next renewal.
5. Your responsibilities and acceptable use
You decide whom to contact, why, when, and through which channel. You are the sender of every communication you send or cause to be sent. You alone are responsible for determining a lawful basis, providing required notices, obtaining consent where required, checking suppression and do-not-contact lists, honoring opt-outs, and complying with all privacy, marketing, anti-spam, telemarketing, and communications laws that apply to you and the recipient.
You may not:
- Use MSPClients for unlawful, deceptive, discriminatory, abusive, harassing, or high-volume spam activity.
- Send misleading communications, hide your identity, falsely claim a relationship, or present an AI-generated statement as verified fact.
- Contact a person after an applicable opt-out or use data without a valid legal basis.
- Use results for consumer, employment, credit, housing, insurance, healthcare, eligibility, surveillance, or other high-risk decisions.
- Resell, republish, export in bulk, or build a competing database or service from MSPClients data or outputs.
- Scrape, probe, reverse engineer, disrupt, overload, introduce malware, bypass security or usage limits, or attempt unauthorized access.
- Infringe intellectual property, confidentiality, privacy, publicity, or other rights.
We may investigate suspected misuse and preserve or disclose relevant information where permitted or required by law. We may restrict access immediately when reasonably necessary to protect people, data, our providers, or the service.
6. Data, content, and ownership
Your content
You retain ownership of content you submit, subject to the Feedback license below. You grant us and our providers a worldwide, non-exclusive right to host, copy, process, transmit, display, and create technical or analytical derivatives from that content only as reasonably needed to provide, secure, support, maintain, and improve MSPClients, enforce these Terms, and meet legal obligations. You confirm that you have all rights and lawful bases needed for the content you provide.
Service data and generated outputs
Business and professional contact information may come from public or licensed sources and remains subject to applicable law and third-party rights. You receive a limited right to use service results for your organization’s lawful internal business prospecting. Generated content may not be unique, may resemble content given to others, and must be checked before use.
MSPClients
Evolom LLC and its licensors retain all rights in MSPClients, including its software, design, branding, methods, scoring systems, documentation, aggregated analytics, and improvements. We grant you a limited, revocable, non-exclusive, non-transferable right to use the service during your authorized trial or subscription. No other rights are granted.
Feedback and feature suggestions
You may voluntarily provide ideas, suggestions, feature requests, recommendations, bug reports, or other feedback about MSPClients (“Feedback”), including through the service, email, support messages, or conversations with us. You grant Evolom LLC a perpetual, irrevocable, worldwide, non-exclusive, transferable, sublicensable, fully paid-up, royalty-free license under all intellectual property rights you own or control in that Feedback to use, reproduce, modify, distribute, create derivative works from, incorporate, make, have made, sell, and otherwise exploit it for any purpose, including developing and commercializing MSPClients and other products or services, without restriction, payment, attribution, further permission, or any obligation to implement it.
Providing Feedback does not give you any ownership, intellectual property rights, joint ownership, or other interest in MSPClients or any feature, modification, improvement, or other product or service we develop, even if based on or incorporating your Feedback. As between you and Evolom LLC, Evolom LLC owns all rights in those developments, subject to applicable third-party rights and the license above for any underlying Feedback. You are not entitled to royalties, compensation, or approval rights because we use your Feedback.
You confirm that you have the rights needed to grant this license. Do not submit Feedback that you are not authorized to share or license. We will not publicly identify you as the source of Feedback unless you agree. This license and the provisions governing ownership of developments and the absence of compensation or approval rights survive expiration or termination of your account or these Terms.
7. Providers, integrations, and service availability
MSPClients relies on third-party infrastructure, search, enrichment, AI, authentication, billing, email, analytics, support, and hosting services. Their terms, availability, data coverage, and technical decisions are outside our control. We are not responsible for third-party services, websites, data, models, or integrations, and we do not guarantee continued access to any provider or source.
We do not promise uninterrupted availability, a service level, support response time, backup, data retention period, or compatibility unless a separate written agreement signed by Evolom LLC expressly says so. Maintenance, provider failures, internet conditions, security events, or events beyond our control may interrupt the service.
8. Suspension and termination
You may stop using MSPClients at any time. We may suspend, limit, or terminate access for breach, suspected misuse, security or legal risk, non-payment, excessive usage, provider restrictions, or discontinuation of the service. Where practical, we may give notice or an opportunity to resolve the issue, but we are not required to do so where delay could cause harm or risk.
After termination, your right to use MSPClients ends. We may delete account data subject to our Privacy Policy, legal obligations, backups, and legitimate recordkeeping. Payment obligations, ownership, Feedback licenses and protections, restrictions, disclaimers, liability limits, indemnity, and dispute provisions survive.
9. Disclaimers
To the fullest extent permitted by law, MSPClients and every signal, source, score, interpretation, contact detail, recommendation, draft, alert, integration, and support service are provided “as is,” “as available,” and with all faults. Evolom LLC disclaims all express, implied, statutory, and other warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, security, quiet enjoyment, and warranties arising from dealing or trade usage.
We do not warrant that information is true, current, complete, lawful for your intended use, or free of third-party claims; that a company has buying intent or a reachable decision-maker; that an email or phone number belongs to the stated person; that AI output is accurate or appropriate; or that MSPClients will produce any response, meeting, customer, revenue, saving, or other result.
You assume all risk from using or relying on the service. You are solely responsible for verification, outreach, legal compliance, account security, backups, and business decisions. MSPClients does not provide legal, privacy, compliance, financial, employment, or other professional advice.
10. Limitation of liability
To the fullest extent permitted by law, Evolom LLC and its members, managers, officers, employees, contractors, affiliates, licensors, vendors, and service providers (the “covered parties”) will not be liable for indirect, incidental, special, consequential, exemplary, enhanced, or punitive damages, or for loss of profit, revenue, savings, data, goodwill, reputation, customers, opportunities, expected benefits, or business continuity, regardless of the legal theory and even if advised that loss was possible.
No covered party will be liable for reliance on data or generated content; inaccurate, delayed, unavailable, or removed sources; any communication you send; claims by a prospect or recipient; provider or internet failures; unauthorized access; security incidents; lost or corrupted data; or replacement services.
Except for liability that cannot legally be excluded or limited, the total combined and cumulative liability of all covered parties for every claim arising from or related to MSPClients or these Terms will not exceed the lesser of (a) US$100 and (b) the fees you actually paid for MSPClients during the three months before the first event giving rise to the claim. If you paid no fees, the cap is zero to the fullest extent permitted by law. This is one aggregate cap for all claims, users, events, and legal theories.
These exclusions and limits apply even if a remedy fails of its essential purpose and are an essential allocation of risk. Your sole remedy for dissatisfaction is to stop using MSPClients and cancel. Where applicable law does not permit an exclusion or limit, liability is limited to the minimum amount required by that law.
11. Indemnity
You will defend, indemnify, and hold harmless the covered parties from every third-party claim, regulatory inquiry, investigation, demand, proceeding, penalty, judgment, settlement, loss, liability, cost, and reasonable legal fee arising from or related to your account, content, services, use of professional contact data, outreach or communications, failure to honor an opt-out, violation of law or these Terms, or infringement of another person’s rights.
We may control the defense at your expense. You will cooperate and may not settle without our written consent if the settlement admits fault by, imposes an obligation on, or does not fully release a covered party. This obligation does not apply to the extent a final judgment determines the claim was directly caused by Evolom LLC’s willful misconduct.
12. Governing law and disputes
These Terms are governed by Delaware law, without regard to conflict-of-law rules. Before filing a claim, you must send a detailed notice to hello@mspclients.com and allow 30 days for informal resolution.
Any unresolved dispute must be brought exclusively in the state or federal courts located in Delaware, and each party accepts their jurisdiction and venue. To the fullest extent permitted by law, each party waives trial by jury and may bring claims only in its individual capacity, not in a class, collective, consolidated, representative, or private-attorney-general action.
To the fullest extent permitted by law, any claim must be filed within one year after it first arose or it is permanently barred. Either party may seek urgent injunctive relief to prevent unauthorized access, misuse, or infringement.
13. General terms
These Terms and the Privacy Policy are the entire agreement regarding MSPClients unless a separate written agreement signed by Evolom LLC applies. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the rest remains effective. Failure to enforce a provision is not a waiver.
You may not assign these Terms without our written consent. We may assign them in connection with financing, reorganization, merger, acquisition, asset transfer, or transfer of MSPClients. We are not liable for delay or failure caused by circumstances beyond our reasonable control.
Evolom LLC’s members, managers, employees, and contractors are not parties in their individual capacities and have no personal liability under these Terms. Covered parties may enforce protections expressly granted to them.
We may update these Terms by posting a revised version and changing the effective date. We will provide additional notice where required. Continued use after the revised Terms take effect means you accept them.
